Terms and Conditions for Business App Products

Effective Date: These Terms and Conditions ("Terms") are effective as of 21.05.2025.

1. Introduction

Cylex offers directory and data management solutions, including the Cylex Bulk Upload and Premium Entry services. These services are designed to simplify and enhance the process of listing and managing multiple business profiles. By using our Services, you agree to the following Terms and Conditions, which govern your purchase and use of these specific services.

2. Definitions

• Cylex: Refers to the business directory and services provided by S.C. CYLEX TEHNOLOGIA INFORMATIEI INTERNATIONAL SNC.
• Customer: An individual or legal entity that uses the Cylex Bulk Upload or Premium Entry services.
• Bulk Upload: The process of submitting multiple business listings at once using Cylex's structured upload format.
• Premium Entry: A paid enhanced listing with additional features such as increased visibility, branding options, and premium placement.
• Order Form: The document or digital interface where the Customer selects and agrees to purchase the services.
• Purchased Services: Cylex Bulk Upload and Premium Entry are considered Purchased Services once payment has been processed.
• Services: Refers specifically to the Bulk Upload and Premium Entry options described in this document.

3. Use of Services

3.1 Rights of Use

Cylex grants Customers a limited, non-exclusive, non-transferable right to access and use the Cylex Bulk Upload and Premium Entry services for their business purposes.

3.2 User Obligations

Customers must ensure the accuracy of all data provided, including business information, categories, and contact details. Misuse of the services or submission of false information may result in the removal of listings.

3.3 Data Management

Customers are responsible for updating the information submitted. Cylex provides free updates for one year from the date of upload. After that period, standard fees may apply for new or unmatched entries.

4.1 Bulk Upload Pricing

• Standard pricing: 1.00 € per listing per year (taxes excluded)
• No processing fee applies if 10 or more listings are uploaded
• A 10.00 € processing fee applies each time you upload a file containing fewer than 10 listings.
• Volume discounts may be available for large uploads — please contact us for a custom quote

4.2 Premium Entry Pricing

Premium Entries are subject to separate pricing based on the selected features and duration, which will be clearly outlined in the Order Form at the time of purchase. All prices are in Euros (EUR) and exclude applicable taxes.

• Subscription: Unless otherwise provided in the applicable Order Form:
  • The subscription fee will remain fixed during the term.
  • The subscription fee is non-cancellable and non-refundable.
  • Purchased Services are purchased as subscriptions.
  • Subscriptions can be upgraded.
  • Any added subscription will terminate on the same date as the underlying subscriptions.

4.3 Payment Terms

All payments are due in advance and are non-refundable. Customers agree to pay all fees as specified in the Order Form. Cylex reserves the right to suspend or terminate services in case of non-payment.

5. Service Management

• Customers can update their uploaded listings at no additional cost for one year after the upload date.
• New listings or unmatched entries may incur additional fees based on the current pricing.
• Premium Entry upgrades are active for the term defined in the Order Form and may be renewed upon expiration.

6. Legal Terms

6.1 Limitation of Liability

Cylex will not be liable for indirect or consequential damages arising from the use or inability to use the services. Total liability shall not exceed the amount paid by the Customer in the 6 months prior to the event giving rise to the claim.

6.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Romania. Any disputes shall be subject to the jurisdiction of the courts of Oradea, Romania.
